Terms and Conditions of Funding Futures Programme Awards

UnLtd, in partnership with Co-op Foundation and Phoenix Group, are providing this Funding Futures Programme Award. The Award is subject to your acceptance of the following terms and conditions which you should read carefully. If you are unsure about any of the terms and conditions, please let us know before you agree to them. These terms and conditions, together with your proposal which describes your venture, our approval, and the final approved budget form the agreement between you and UnLtd.

The Award

  1. The Award is made to you personally. This means that it must only be used by you, and you must not transfer it to any other person.
  2. You must only use your Award for the purposes of your venture as set out in your proposal unless we agree to any changes (see 3 below).
  3. If you wish to change your venture you must first speak to your Social Entrepreneur Support Manager who will discuss the changes with you and consult with senior colleagues as appropriate. You must get agreement to the changes before you carry them out and we may make conditions that we think are appropriate before giving our agreement. Please be aware that if you propose changes so substantial that your venture will no longer be the venture for which Award was made your Award may be withdrawn.
  4. Acceptance of the Award is a commitment by you to carry out your venture within the agreed timescale and budget. Please let your Social Entrepreneur Support Manager know if you are experiencing any difficulties.
  5. UnLtd can decide to withhold payment of an Award or any instalment of it at any time if we think there is good reason to do so.
  6. We may change any of the terms of the Award at any time if we give you 4 weeks' written notice, but we do not expect to do so without good reason. We will consult with you first about any proposed changes.
  7. We will not make any payment of the Award until we have received all necessary paperwork, including satisfactory references from your referees if applicable which must be received within 45 days of you receiving your Award.
  8. If your venture involves work with children, young people, or other vulnerable groups we recommend that you obtain a satisfactory disclosure which may be obtained from the Disclosure and Barring Service (DBS). See gov.uk/government/organisations/disclosure-and-barring-service for further guidance. We expect that you consider creating a Safeguarding Adults Policy and Procedure and a Child Protection and Safeguarding Policy. Value for money and transparency

  1. To ensure the Award is used in the most effective way, you must ensure that you get value for money by obtaining more than one quote for the supply of goods and services, using price comparisons or considering alternatives where feasible.
  2. If you are using the Award to pay others (such as sessional or freelance workers) you must avoid conflicts of interest, such as paying members of immediate family or household. Approval must be sought from your Social Entrepreneur Support Manager if you think a conflict of interest might exist. If you do not seek approval, and we determine that a conflict of interest does exist, we may ask you to return all or part of your Award.

Participation in research, data sharing and data protection

The Millennium Awards Trust was endowed by the Millennium Commission with a National Lottery grant of £100 million as a permanent source of grants for individuals throughout the United Kingdom to develop their own skills and talents and to contribute to the community. UnLtd is the trustee of the Millennium Awards Trust and operates the Millennium Awards Scheme.

  1. It is a requirement of the Award that you complete a Year End Survey which will be sent to you approximately 12 months after approval and short follow-up questionnaires at 24 and 36 months. These are crucial tools in helping UnLtd to track the quality and outcomes of its work.
  2. UnLtd carries out additional research and evaluation to help improve the support we provide to social entrepreneurs and inform wider policy and practice. We may contact you during or after your Award to ask for your participation in research activities and may pass your contact details on to other organisations carrying out research on our behalf. UnLtd may also contact you to share news and offer relevant opportunities for funding or support. By accepting this Award, you allow your data to be used in this way. We will never share sensitive personal data without your express, informed, consent. Please also be aware that the information you provide about you and your venture may also be used as part of UnLtd funding applications to other grant giving organisations. The information contained would be used to help evidence the impact receiving funding and support from UnLtd can make, as well as illustrating the range of people and ventures we support. Your information contained within a funding proposal would be solely for this purpose and no further permissions or usage would be granted to receiving organisations.   3. As this Award is provided in partnership with Co-op Foundation and Phoenix Group, we may share data relating to you and your venture with Co-op Foundation and Phoenix Group. This will only be done where it is necessary as part of UnLtd's reporting obligations for receiving funding from Co-op Foundation and Phoenix Group or as part of the evaluation of the programme, or for any other purpose related to the Funding Futures Programme. Reporting for this programme may also involve the publishing of evaluation data on third-party platforms such as 360 Giving. This will only be done at an aggregated level and no personal identifiable information will be published without your consent. We will not share your data for any further purposes without your express, informed consent.
  4. Please be aware that the information you provide about your venture may be displayed on our website: www.unltd.org.uk. The information will therefore be accessible in countries outside of the UK and European Economic area which do not necessarily ensure adequate levels of protection for your rights and freedoms as a data subject, in relation to the processing of personal data.

Payment of your Funding Futures Programme Award

  1. It is a requirement of the Award that you complete a financial review. If you fail to do so UnLtd may withdraw your Award and seek to recover the money given to you.
  2. We will pay your Award to you as we agreed in our approval correspondence. Please note that our approval will normally provide for payment of your Award to you in instalments and may require that you must first meet certain conditions before the next instalment is released.
  3. Please be careful to ensure that you do not incur expenses before you agree to these terms and conditions as we will not pay/refund those expenses.
  4. If at the end of your Award period you have not spent your Award money you must refund any unspent funds to us.
  5. If you do not fulfil your obligations under this agreement without good reason, we will not make any further payments of your Award to you, and we may proceed to recover monies already paid to you.
  6. If you have received an Award to pay all or part of your living expenses this may affect your level of benefits. Similarly, you may be liable to pay income tax on any UnLtd Award for personal expenditure if you are self-employed or in employment. You should seek advice e.g., from a CAB or an independent advice centre to see how this might affect you. We can provide details of where you may be able to get free advice. If you have been awarded a Starting Up Award this clause is unlikely to apply as your Award can only be spent on venture costs and cannot be used to pay for living expenses.
  7. You agree to:
  • a. Indemnify us in respect of any costs, claims, loss, or liability whatsoever suffered by us (including reasonable legal costs and disbursements) as a result of any breach by you of any of the terms of this Agreement or any negligent act or omission by you;
  • b. To have appropriate insurance at all times in relation to all activities you undertake and to ensure that the cover under such policy of insurance is adequate including (without limitation) public liability insurance in respect of your activities;
  • c. To obtain all appropriate approvals, commissions, licences or to carry out any profile checks, health and safety risk assessments required by law or required by us and to confirm that you have done this;
  • d. Provide copies of any insurance documentation that we request.

Accounts and Reports

  1. To keep us up to date with your progress with your venture and to make sure that you are using the Award money properly during your venture you must:
  • a. Give us regular reports on the progress of your venture;
  • b. Follow our guidelines on keeping financial records (a copy of which will be given to you);
  • c. Keep a record of ALL expenditure of your Funding Futures Programme Award together with invoices and receipts on the Financial Record Form we provide; for Awards to pay all or part of your living expenses, invoices and receipts for living expenses will not be required;
  • d. Submit a completed Financial Record Form and all related receipts and invoices for expenses to your Social Entrepreneur Support Manager at the financial review meeting; and
  • e. Allow us to access your financial records and receipts at any time.
  1. We may need to see satisfactory reports referred to in (a) and the receipts referred to in (c), (d) and (e) before we make any further instalment payments of your UnLtd Award to you.
  2. You must provide a final account of the expenditure against the final approved budget.

Publicity

  1. In publicity you must acknowledge the support of the Funding Futures Programme in accordance with our publicity Branding Guidelines (a copy of which will be provided to you). You must follow those guidelines at all times.
  2. UnLtd may use information about you and your venture in our publicity and promotional material at any time including after this agreement has ended.

UnLtd Network

  1. The UnLtd community is one based on reciprocity and generosity. That means we would invite you to give back (if you can) to our community and pay it forward with any support you think could help fellow social entrepreneurs.

Assets

  1. If you wish to use the Award money to buy an asset (this includes property and equipment) costing £1,000 or more you must obtain the authorisation of your Social Entrepreneur Support Manager who may consult with colleagues as appropriate. In relation to those assets:
  • (a) They will remain our property unless we agree otherwise and at the end of your venture you must dispose of them as required by the Social Entrepreneur Support Manager and/or Director of Social Entrepreneur Support. If disposal of assets gives rise to any income, we may seek repayment of the whole or any portion of that income.
  • (b) They will only be used for the purposes of the venture. Unless the Social Entrepreneur Support Manager or Director of Social Entrepreneur Support otherwise requests disposal, at the end of your venture you will undertake to ensure that any assets will only be used for charitable purposes.
  • (c) If we end this agreement before completion of your venture, we may keep any of those assets.

Termination and Repayment

  1. If you do not meet your obligations under this agreement within a reasonable time period, materially breach a condition of your Award, provide fraudulent information to us or you act in a fraudulent manner, we may end this agreement immediately and may require you to repay all or part of your Award.
  2. If we discover that your application was fraudulent or contained information that was incorrect or misleading in a material way, we will bring this agreement to an end immediately and, if so, you must repay the Award immediately.

Definitions

  1. References in the terms and conditions to "this agreement" are to the terms and conditions, your proposal, our approval, and the final approved budget. References to "us" and to "we" are to UnLtd and its agents or assignees.
  • Nothing in this agreement shall create a partnership, as defined in the Partnership Act 1890 or otherwise, between UnLtd and the Award Winner.
